Our client acquires, strengthens, and grows communications & media software businesses. Our client is portfolio within a publicly listed company on the TSX (“CSU”) with a market cap of over $30 billion. They require a CEO / BU leader that has run a business unit in the past, has P&L management experience and a background in product management.
The role is ideally UK based (from home with meetings likely in the South East UK - London / Newbury / Reading)

The Position:The Associate, Legal Counsel is responsible for managing customer, vendor and business partnercontracts for the companies that fall within a Global Group of 8 companies, growing throughacquisitions at a minimum of 3 businesses annually. Each company, potentially having multiple legalentities across UK, Europe, Asia, Africa and North America. This position will work closely with the Groupleadership and its sub organizational Business Unit CEOs, Finance Leads enforcing my clients Grouppolicies and procedures, while maintaining a “dotted line” to the Groups General Counsel.


The position requires an articulate, self-motivated individual who possesses strong organization skills.The candidate must have excellent interpersonal skills to work with people at all levels across multiplescompanies in various jurisdictions.


Assessing the risks associated with new and existing contracts are further required to maximize theCompany's financial and operational performance. Other duties may be assigned, as necessary.


Due to the ongoing COVID-19 pandemic, this role will be performed on a work from home basis. Thisrole is also eligible for permanent remote work status.





Job Duties? Drafting, reviewing, negotiation, and administration of a variety of contracts, including softwarelicense, maintenance and support services, consulting agreements, sub-contractor, project-specific agreements, and non-disclosure agreements to maximize financial and operationalperformance.? Reviewing documents (including responses to bids) for acceptability and compliance withcompany standards, policies, and procedures.? Develop and submit for approval, contract management policies, procedures, and processes.? Ability to customize existing templates, create templates, draft new agreements to fit projectrequirements, and effectively negotiate terms with customers and suppliers.? Build and maintain positive relationships with business partners within the Garcia Group.? Assess and evaluate the risks associated with new and existing contracts.? Managing legal review intake and performing triage.


? Research and recommend best practices and contract process improvements.? Providing legal advice, where appropriate, to relevant stakeholders.? Other duties shall be assigned as required.Core Competencies? Strong verbal, written, and problem solving skills.? Demonstrate a solid understanding of legal terminology, ethics, and integrity.? Ability to prioritize and manage time efficiently.? Ability to manage multiple projects with shifting deadlines.? Exemplify strong attention to detail, judgement, and decision making.? Ability to meet project objectives within designated constraints, including managing legal andcommercial needs.? Ability to work in a fast-paced environment with changing priorities, and the resilience to retainstrong customer service skills.? Ability to perform research and analysis efficiently and practically.? Ability to enforce rules, policies, and procedures.Requirements? Must be an active member of the Law Society of the United Kingdom or Ireland? 2-4 year call to the bar.? In-house legal department experience considered an asset.? University degree in Law, Business, or Legal Administration.? Experience in a telecommunication and/or software environment considered an asset.? Background and/or experience in contract procurement involving software.? Comprehensive knowledge of software and related rules and regulations.? Resourceful and flexible; able to quickly adapt in an intense and changing work environment.? Ability to interpret, draft, and negotiate agreements.? Ability to travel up to 15% of the time (post COVID19 pandemic)
